Register Foreign LLC in Florida

Pursuant to s. 605.0902, Florida Statutes, anyone wishing to register a foreign LLC in Florida must:

1: File an Application for Authorization to Transact Business in Florida.

There is a $125 filing fee ($100 registration and $25 appointment of a registered agent). You must send the complete application and the fee to the Florida Division of Corporations, Registration Section.

As part of the application, you must appoint a Florida registered agent.

2: With your application, include an original Certificate of Existence.

This comes from your home state and can be no more than 90 days old. It must be original (not a copy). A Certificate of Existence is also known as a Certificate of Good Standing.

3: If your Florida limited liability company name is already in use in the state, you must submit an alternative name.

After You Register a Foreign LLC in Florida:

After you register a foreign LLC, you are required to file a Florida LLC Annual Report every year to maintain your “active” status. Foreign LLC’s must file an annual report electronically between January 1 and May 1 each year. The annual report fee for LLCs is $138.75.After May 1, there is a $400 late fee.
